How Elon Musk scored a $75.5b pay package at Tesla that’s now under fire

SILICON VALLEY, California – A Silicon Valley venture capitalist who served on Tesla’s board testified that the largest executive pay package in US corporate history was necessary to keep billionaire Elon Musk “engaged” in the electric carmaker he founded.

Taking the stand on Monday as the first witness in a trial over the propriety of paying Mr Musk some US$55 billion (S$75.5 billion), Mr Ira Ehrenpreis said the Tesla board recognised in 2017 that the chief executive officer was a “serial entrepreneur” and wanted to make sure he did not leave the company to pursue other interests.

“We wanted Elon to be at the head of Tesla for a long time,” Mr Ehrenpreis testified.

Mr Ehrenpreis’ testimony aimed to establish that it was the board rather than Mr Musk that determined the compensation deal.

It underscored a continuing concern about the Tesla CEO.

Since he recently completed his controversial US$44 billion acquisition of Twitter, Mr Musk has plunged the social media platform into chaos and a threat of bankruptcy with a series of policy, product and personnel upheavals and an exodus of advertisers.

Amid all of that, Mr Musk is expected to take the stand himself this week in Delaware Chancery Court. 

The trial stems from a shareholder’s suit that claims Tesla’s board failed to exercise independence from Mr Musk as it drew up a new pay package for its charismatic CEO.

If Judge Kathaleen McCormick sides with the shareholder – a long shot – she could order Mr Musk to pay back some or all of the stock awards to Tesla.

Judge McCormick is the same judge who presided over a showdown between Mr Musk and Twitter in recent months when he was trying to back out of the buyout – before he capitulated and agreed to honour his original offer.

‘All for Elon’

Mr Musk has acknowledged that he had little to fear from the Tesla board’s review of his pay proposal, according to court filings. “Me negotiating against myself” is how he described the process of tweaking the pay package’s details in a pre-trial deposition.

During the cross-examination of Mr Ehrenpreis, a lawyer for the shareholder raised a March 2018 e-mail that Mr Musk had sent to the company’s then chief legal officer Todd Maron in which the CEO warned that if a particular institutional investor voted against the package, it would be told it was not welcome at Tesla any more.

Mr Ehrenpreis, who was copied on the e-mail, testified that he did not think it was a threat against all major shareholders, and said he did not know why Mr Musk got worked up about that one investor. 

It is not clear if Mr Musk ever directly communicated his warning to the investor.

Mr Maron, who took the stand after Mr Ehrenpreis, was not asked about it on Monday.

Mr Ehrenpreis said the board discussed Mr Musk’s compensation with 10 of the company’s largest institutional investors, who all agreed on the need to keep Mr Musk at Tesla.

Representatives of Fidelity Investments said they were “all for Elon making a bunch of money” when Tesla made leaps in value, Mr Ehrenpreis recalled.

Mebourne station breaches community radio broadcast rules in Ukraine coverage

The Australian Communications and Media Authority (ACMA) has found Melbourne-based community broadcaster 3ZZZ in breach of community broadcasting rules in its coverage of the invasion of Ukraine by Russia. 

An ACMA investigation found that content broadcast on 3ZZZ’s ‘The Russian Program’ on February 24 breached rules around factual accuracy and also stereotyped and attempted to demean Ukrainian people. 

During the program, which is presented in the Russian language, the host made a number of comments stating that Russian armed forces had not carried out any “missile, air or artillery strikes on the cities of Ukraine”.  

The ACMA investigation found this was not accurate at the time of broadcast, with credible evidence citing 24 February 2022 as the start of Russia’s missile attacks against Ukrainian cities. 

The investigation also noted the program host made statements presenting the independence of Donetsk and Luhansk from Ukraine as fact. in assessing credible external sources, including comments from Australia’s then minister for foreign affairs, the ACMA is of the view that these statements were inaccurate. 

ACMA chair Nerida O’Loughlin said: “Community radio, including in-language services, fulfils a vital role in Australia’s broadcasting landscape, providing access to content audiences may not otherwise be able to find. Therefore, it’s important that audiences can trust that the information presented is accurate. 

“In this case, 3ZZZ has aired material that did not meet the accuracy standards expected of a community broadcaster.” 

The ACMA also found the program included content that was demeaning towards Ukrainian people on the basis of their nationality, language and political affiliations. This included a song which mocks the Ukrainian government and people, presenting a stereotype of Ukrainians that attempted to undermine their dignity. 

Following the findings, 3ZZZ has entered into a court-enforceable undertaking with the ACMA that will see it provide training for all relevant staff and volunteers on compliance with the Community Radio Broadcasting Codes of Practice.  

The station will also establish systems, processes and practices for the identification of geo-political matters and environmental sensitivities of a serious nature, so that these can be appropriately managed in broadcasts in the future.

Southpaw – “Your Name” [single]. NJ country act Southpaw’s last single, Whiskey & Whine, was a fun upbeat party tune. Their latest single, “Your Name”, shows a different side of the band, with a beautiful laid back ballad that is perfection.

Sonofdov – “Torchbearer” [single]. November… the cool air of the fall, the shorter days & longer nights, and the leaves underfoot… all of which pair perfectly with Sonofdov’s latest introspective single, “Torchbearer” from his forthcoming EP, Fangs (out 11/18).

The Tremendous Mouthfuls – “The Greatest Love Song” [single]. Keith Peters returns with his new band “The Tremendous Mouthfuls”, and a catchy new single, “The Greatest Love Song”. He may never write the greatest love song, but this song’s chorus has been rattling around in my head all day.

Those Looks – “Cults Near Me”. Those Looks? More like, Those Sounds!

“Cults Like Me” is an album chock full of dreamy pop tunes. I want to go lie outside and stare at the clouds going by on a sunny day with this album blaring thru big headphones.

Community radio station breaches broadcast rules in coverage on Ukraine

Melbourne-based community broadcaster 3ZZZ breached community broadcasting rules in its coverage of the invasion of Ukraine by Russia, the Australian Communications and Media Authority (ACMA) has found.
